Business-to-business terms

These terms govern business use of PowerSystem supplied by Denis Miclea operating as Adept Web. Consumer purchase is not offered.

Subscription and licence

A paid, active entitlement grants a limited, non-transferable right to use the signed release for the purchased organization and plan. Circumventing activation, quotas, security controls, or receipt validation is prohibited.

Engineering and AI boundary

AI output is a proposal, not engineering truth or professional approval. The customer must use qualified personnel and the product's deterministic validation, approval, evidence, and rollback boundaries before relying on a change.

Fees, renewal, and suspension

Subscriptions renew for the selected cadence until cancelled. Taxes are calculated at checkout. Cancellation stops the next renewal. Failed renewal, refund, chargeback, fraud, or material breach may suspend managed service and entitlement access.

Confidentiality, warranty, and liability

Each party must protect the other's confidential information. The service is provided with commercially reasonable care, subject to documented plan limits and mandatory law. To the maximum extent permitted by law, indirect and consequential damages are excluded; an order form may state different negotiated limits.

Law

Unless an executed order form says otherwise, these terms are governed by the laws applicable in Québec, Canada, without regard to conflict-of-law rules.
